1. INTRODUCTION

Overview. These End-User Terms of Service (the “Terms of Service”, “TOS” or this “Agreement”) govern your access to and use of Sooof Inc.’s (“Sooof”, “we”, “us” or “our”) website (the “Site”), platform, services and/or software (as such term is defined below) (collectively, the "Services"). These Terms of Service limit Sooof’s liability and obligations to you, grant Sooof certain rights and allow Sooof to change, suspend or terminate your access to and use of the Services.

Description of the Services. The Services comprise a suite of proprietary tools and applications that allow customers (“Customers”) to view and opt-in to offers presented by suppliers on the Services (“Suppliers”).

Binding Nature. By accessing or using the Site and/or the Services you agree to be bound by these Terms of Service.

Other Applicable Terms. Your use of the Site and/or Services will be subject to the Sooof Privacy Policy which is located at https://www.sooofev.ca/privacy-policy.

Privacy Obligations. You may be granted access to the personal information of Suppliers (“Personal Information”). You agree to use any Personal Information in conformance with the terms of Sooof’s Privacy Policy.

2. YOUR ACCOUNT

Authorization. Use of the Services is void where prohibited by law. By using the Services, you represent that: (i) your registration information is truthful and accurate; (ii) you are 18 years of age or older; (iii) your use of the Services does not violate any applicable laws.

Types of Accounts. As a visitor, you are allowed basic access. You can create a “Free Account” to access more features.

Credentials. Your account will be accessed through a user ID and password that you will create (your "Credentials"). You are solely responsible for maintaining the confidentiality of your Credentials.

Non-Circumvention. You agree not to violate the spirit of these Terms of Service by structuring any agreement with a Supplier that results in Sooof not being paid the fees to which it is entitled.

Term. These Terms of Service remain in effect while you use the Services.

3. CONTENT

Content. The Services include functionality that permits users to post text, images, audiovisual media and other forms of content (collectively, "Content"). Any Content that you post belongs to you.

Grant of Rights to Content. You grant Sooof an irrevocable, nonexclusive, worldwide, royalty-free right to use, reproduce, modify, distribute, and publicly display your Content.

Your Responsibility for Your Content. You are responsible for all Content you create or post. Any of your Content must comply with these Terms of Service.

Objectionable Content. You agree not to post any unlawful, defamatory, or otherwise objectionable content.

Non-Confidential Nature of Content. Posting your Content is voluntary and may expose it to public display.

4. INTELLECTUAL PROPERTY

Ownership of the Services. All right, title, and interest in the Site and Services are the exclusive property of Sooof and/or its suppliers and licensors.

License of Services. Subject to the terms hereof, Sooof grants you a limited license to use the Services.

Feedback. Any feedback provided to Sooof is the sole property of Sooof and you hereby assign all rights to such Feedback to Sooof.

5. CODE OF CONDUCT

Prohibited Activities. You agree not to access, tamper with, or use non-public areas of the Services; send unsolicited emails, or interfere with any user.

6. INTERNATIONAL USE

The Services may be hosted in various countries and governed by the laws of the Province of Ontario.

7. COPYRIGHT INFRINGEMENT

If you believe any material violates your copyright, send a notice to Sooof containing the required information about the claimed infringement.

8. CANCELLATION AND TERMINATION

Sooof may terminate access to the Services without notice if you violate these Terms of Service.

9. NON-ENDORSEMENT AND RELEASE

Sooof is not responsible for any Content provided by third parties or the accuracy of any third-party information. You release Sooof from any claims related to adverse results from your use of the Services.

10. GENERAL TERMS

Third Party Links/API. The Services may include links to third-party sites. Your use of third-party sites is subject to their terms.

Entire Agreement. These Terms of Service constitute the entire agreement between you and Sooof.

Governing Law/Jurisdiction. These Terms of Service will be governed by the laws of Ontario, Canada.
